Bermad Tools Terms of Use

Welcome to BERMAD. Our design tools for automatic control valves and supporting products (the “Tools“) are available for use at www.bermad.com (the “Website“). The Tools were developed and are owned and operated by Bermad CS Ltd. (“Bermad”, the “Company”, “we” or “our“).

Please carefully read the following terms and conditions (the “Terms“). The Terms constitute a binding agreement between you and the Company. By using our Tools, you indicate your acceptance of these Terms. If you do not agree to these Terms of Use, you may not use our Tools.

You may contact us with any questions or comments, at support@bermad.com.

If you are an individual residing in the United States, by agreeing to these Terms you also agree to the use of email (“Electronic Record”) to send you legally required notices. You may withdraw your consent to use an Electronic Record by notifying us at support@bermad.com and indicating your withdrawal of consent, your full name and postal address. To access and retain a copy of this disclosure or the Electronic Record in which we send you any legal required notices, you will need (i) a computer with a web browser and Internet access and (ii) either a printer or storage space on such device. To request a paper copy of this disclosure or the Electronic Record in which we send you any legal required notices, contact us at support@bermad.com and indicate your request, your full name and postal address. We will charge you the cost of first-class mail-international, for each paper copy you request. To update the contact details we use to contact you electronically, contact us at support@bermad.com and indicate your full name, your old email address and new email address.

 

The Bermad Tools; Output

Our tools allow you to visualize important issues such as constant water supply, noise & maintenance considerations, integration & control and high water consumption.

The following Tools are available for use, subject to these Terms:

  • BERMAD High Risk Environment
  • BERMAD City Center
  • BERMAD Air
  • BERMAD City
  • BERMAD Sizing
  • BERMAD Mining Environment

Our Tools are available for use online through the Website, or locally by downloading the software to your computer. Some Tools may only be available for use online. Bermad reserves the right to change, in its sole discretion, the manner in which each Tool is available for use.

Some of the Tools can generate recommendations and reports (“Output“) at your request. The Output is generated solely based on data you enter into the system and/or the data collected automatically through the Tools. Bermad does not examine the data’s accuracy, completeness or reliability prior to generating the Output at your request, and you will have no plea or claim in relation to the accuracy or completeness of the Output.

The Output is provided solely as a preliminary indication in relation to products’ characteristics, technical data and engineering parameters. It does not constitute engineering advice, design approval, a professional opinion, a commitment as to suitability, performance or fitness for a particular project, or a recommendation to select, install or operate any specific product or configuration. You are solely and exclusively responsible for reviewing, verifying and independently validating the Output, and for any decision, specification, installation, operation or reliance based on it.We may, in our sole discretion, offer support and assistance in relation to the operation of the Tools, in the scope and under the terms here. We reserve the right to modify, limit, suspend, or discontinue any technical support at any time, with or without prior notice to you.

 

Registration and Use of the Tools

In order to use our Tools, you must register to create an account. We will explicitly indicate the fields for mandatory completion. If you do not enter the requisite data in these fields, you will not be able to register. You may not allow any third-party to use your user or credentials to access the Tools.

Subject to the Terms, Bermad grants you a free of charge, limited, non-exclusive, non-transferable, non-sublicensable license to use the Tools for your internal business purposes. The Tools are currently available for use free of charge. Bermad reserves the right to change the license model and its terms in the future, including by introducing paid features or charging a subscription fee.

If you are under the age of 18, you may not use the Tools in any way. By using, accessing or registering with us, you declare that you are 18 years of age or older. We reserve the right to terminate an account, if we find that you are younger than the minimum age specified above. We may request additional information to confirm your age at any time.

Bermad recommends using the Tools for measurement and assessment of Bermad products only; however, we do not prohibit the use of the Tools to measure or assess other products. Use of the Tools for measurement and assessment of any product not manufactured or distributed by Bermad is unsupported and unverified and shall be made at your own risk. We disclaim any representation, warranty or liability with respect to the use of Tools with third-party products or the accuracy, correctness, completeness, reliability or suitability of any Output generated in relation to third-party products.

Acceptable Use

When using the Tools, you must refrain from –

  • Breaching these Terms or any other applicable rules and instructions that we may provide;
  • Interfering with, burdening or disrupting the functionality of the Tools;
  • Breaching the security of the Website or the Tools or identifying any security vulnerabilities in them;
  • Circumventing or manipulating the operation, or functionality of the Tools, or attempting to enable features or functionalities that are otherwise disabled, inaccessible or undocumented in the Tools;
  • Using or launching any automated system, including without limitation robots, crawlers and similar applications to collect and compile content from the Tools;
  • Displaying the Tools or any part thereof in an exposed or concealed frame, or linking to elements or portions of the Tools;
  • Displaying content from the Tools in any way, including by any software, feature, gadget or communication protocol which may alter the content or its design;
  • Downloading content from the Tools for any purpose (except for downloading the Tools themselves for local use), unless explicitly stated by the company that such action is permitted;
  • Accessing or using the Tools in order to develop or create a similar or competitive product or service;
  • Engaging in any activity that constitutes a criminal offense or gives rise to civil liability; or
  • Violating any applicable law.

WE MAY EMPLOY TECHNOLOGICAL MEASURES TO DETECT AND PREVENT FRAUDULENT OR ABUSIVE USE OF THE TOOLS. WE MAY SUSPEND OR TERMINATE YOUR USER ACCOUNT, OR BLOCK YOUR ACCESS TO AND USE OF ANY TOOL(S), WITHOUT PRIOR NOTICE AND AT OUR SOLE DISCRETION, IF WE BELIEVE THAT YOU HAVE ABUSED YOUR RIGHT TO USE THE TOOLS.

Intellectual Property

The Tools are proprietary offerings of the Company, protected under copyright laws and international copyright treaties, patent law, trade secret law and other intellectual property rights of general applicability. Except for your limited license to use the Tools, these Terms do not grant or assign to you any other license, right, title, or interest in or to the Tools, or the intellectual property rights associated with them. All rights, title and interest, including copyrights, patents, trademarks, trade names, trade secrets and other intellectual property rights, and any goodwill associated therewith, in and to the Tools (but not the Output), including computer codes, graphic design, layout and the user interfaces of the Tools, are and will remain at all times, owned by or licensed to the Company.

You are not allowed to copy, duplicate, distribute, sell, make available, market and translate any information, including trademarks, images, pictures, texts and computer code from the Tools, without the Company’s explicit prior and written consent.

Trademarks featured on the Tools (whether registered or not) are the sole property of the Company and/or its third-party licensors. You may not use them without our prior written consent.

You own all the rights, title and interest in and to the Output. We do not claim any ownership of your Output. By using the Tools, you grant us an irrevocable, perpetual, world-wide, royalty-free, sub-licensable and assignable license to use the Output to improve, enhance and develop the Tools and our services. Our use of the Output for the foregoing purpose will not directly identify you or disclose your confidential information.

Privacy

We respect your privacy. Our privacy policy is available here [Privacy Notice] and is hereby incorporated by reference to and forms an integral part of these Terms.

Confidentiality

You agree to regard and retain as confidential and not divulge to any third party, or use for any unauthorized purposes, any Confidential Information, as defined below, that you acquire during your access and use of the Tools without the written approval of the Company. Without limiting the scope of this duty, you agree not to design or develop any products or services, which incorporate any Confidential Information. All Confidential Information remains the property of the Company and no license or other rights in the Confidential Information is granted hereby.

“Confidential Information” shall include, but will not be limited to, information regarding research and development related to the Tools, inventions, whether patentable or non-patentable, discoveries, innovations, designs, drawings, sketches, diagrams, formulas, computer files, computer programs, hardware, screen shots, software, manuals, selection processes, data, planning processes, trade secrets, business secrets, business plans, copyrights, proprietary information, processes, formulae, know-how, improvements and techniques and any other data related to the Tools and its users. Confidential Information will include information in written, oral and/or any other form of communication.

Changes and Availability

From time to time, we may change the Tools’ structure, layout, design or display, as well as the scope and availability of their features and the content therein, without prior notice, for the following purposes:

  • To improve our services;
  • To adapt to new technologies;
  • To reflect changes in our agreements with others;
  • To comply with legal or other requirements; and
  • To prevent misuse of our Tools and to enforce these Terms.

Changes of this type by their very nature may result in glitches or cause inconvenience of some kind.

We will make efforts to have the Tools available and operate without errors, on a 24/7 basis. However, the availability, quality and functionality of the Tools depends on various factors, including software, hardware, communication networks, which may be provided by third parties, at their responsibility. These factors are not fault-free, and we do not guarantee that the Tools will operate without disruption, errors or interruptions, or that it will be accessible, or available at all times or immune from errors, glitches or unauthorized access.

Changes to the Terms

From time to time, we may change these Terms, in whole or in part to:

•    Reflect modifications to our Tools;

•    Comply with applicable law and adopt new regulatory requirements;

•    Prevent abusive use or harm; or

•    Update the Terms where changes are required in light of our experience in communicating with you and other users.

If we make significant changes to these Terms, we will first provide you with reasonable notice via email (if we have your email) or through the Website. If we make such changes, you may delete your account. Your continued use of the Tools after the effective date of the amended Terms constitutes your consent to the amended Terms.

Disclaimer of Warranty

THE TOOLS ARE PROVIDED FOR USE “AS IS” AND “WITH ALL FAULTS”. WE DO NOT PROVIDE, AND EXPRESSLY DISCLAIM, ALL WARRANTIES OTHER THAN THE ABOVE, WHETHER WRITTEN OR ORAL, OR EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY ON THE FITNESS FOR A PARTICULAR USE OR PURPOSE.

Limitation of Liability

UNLESS otherwise specified in another agreement you have with THE COMPANY, to the greatest extent permissible under applicable law, WE AND OUR  DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, ADVISORS, CONSULTANTS, SUBCONTRACTORS AND ASSIGNEES (COLLECTIVELY, OUR “STAFF”), SHALL NOT BE LIABLE TO YOU, FOR ANY DIRECT, INDIRECT, SPECIAL, PUNITIVE, EXEMPLARY, STATUTORY, INCIDENTAL OR CONSEQUENTIAL DAMAGE, OR ANY SIMILAR DAMAGE OR LOSS, INCLUDING LOSS OF PROFIT AND LOSS OF DATA, COSTS, EXPENSES AND PAYMENTS, EITHER IN TORT (including negligence), CONTRACT, OR IN ANY OTHER FORM OR THEORY OF LIABILITY, ARISING FROM, OR IN CONNECTION WITH THE TOOLS, THEIR FUNCTIONALITY, THE USE OF OR THE INABILITY TO USE THE TOOLS, OR FROM ANY FAILURE, ERROR, OR BREAKDOWN IN THE FUNCTION OF THE TOOLS, OR FROM ANY FAULT, OR ERROR MADE BY OUR STAFF, OR FROM YOUR RELIANCE ON THE OUTPUT or any decision to install, configure or operate any PRODUCT or related system based on the Tools or THE Output, OR FROM ANY COMMUNICATION WITH THE COMPANY, OR FROM RETENTION, DELETION, DISCLOSURE AND ANY OTHER USE OR LOSS OF CONTENT OR INFORMATION.

Applicable Law and Jurisdiction

These Terms shall be governed solely by the laws of the State of Israel without regard to its conflict of law provisions.

The Tel Aviv District Court shall have sole and exclusive jurisdiction over any claim in connection with the Website or in respect of any matter relating to these Terms.

General

Relationship. These Terms do not create any agency, partnership, employment, trustee, or other type of legal relationship between you and Bermad, other than that of two independent contractual parties.

Assignment. You may not assign or transfer your rights and obligations under These Terms without our prior written consent. Any attempted or actual assignment by you, without our prior consent, shall be null and void. Notwithstanding anything to the contrary under law, we may assign to a third party these Terms in their entirety, including all rights, duties, liabilities, and obligations therein, upon notice to you and without obtaining your further specific consent, upon a merger, acquisition, change of control or the sale of all or substantially all of our equity or assets relating to These Terms. By virtue of such assignment, the assignee assumes our stead, including all rights, duties, liabilities and obligations, and we are irrevocably released from the same.

Entire Agreement. These Terms constitute the entire agreement between you and Bermad concerning the subject matter herein and supersede all prior and contemporaneous negotiations and oral representations, agreements and statements.

No waiver. Failure on our part to demand performance of any provision in these Terms shall not constitute a waiver of any of our rights under the Terms.

Modifications. No waiver, concession, extension, representation, alteration, addition or derogation from the Terms, or pursuant to the Terms, will be effective unless consented to explicitly and executed in writing by our authorized representative.

Severability. If any provision of these Terms is held illegal, invalid, or unenforceable by a competent court or arbitration tribunal, then that provision shall be performed and enforced to the maximum extent permissible by law to reflect, as closely as possible, the original intention of that provision, and the remaining provisions of these Terms shall remain in full force and effect.
